Website Terms
These terms govern access to and use of the Next Circuit Recycling Solutions website.
The website is operated by Next Circuit Recycling Solutions Pty Ltd (ABN 46 692 077 839; ACN 692 077 839), trading as Next Circuit Recycling Solutions. References to NCRS, we, us or our mean Next Circuit Recycling Solutions Pty Ltd.
1. Acceptance
By accessing or using this website, you agree to these terms and acknowledge our Privacy Policy. If you do not agree, do not use the website.
2. General information only
The website gives high-level information about the NCRS venture, the industrial problem it is addressing and its proposed approach. It is deliberately not a complete technical, safety, environmental, regulatory, legal, financial or commercial statement.
Website content is general information only. It is not professional advice and should not be used to make transport, storage, handling, waste-classification, environmental, safety, processing, investment or commercial decisions. Obtain advice appropriate to the material, location and circumstances.
3. No offer, acceptance or guarantee
Nothing on the website or in an initial enquiry:
- constitutes an offer, quotation, transport instruction, processing commitment, regulatory approval or material acceptance;
- confirms that any material is suitable, lawfully movable, safe to handle or capable of a particular treatment or downstream outcome;
- guarantees recovery, reuse, environmental, commercial or other results; or
- creates a client, agency, partnership, joint venture, fiduciary, advisory or other business relationship.
Suitability is assessed case by case. Commercial activity proceeds only under separately agreed written terms after relevant technical, operational, safety, compliance and commercial requirements have been addressed.
4. Commercial agreements prevail
These website terms govern website use only. They do not form part of, replace, amend or override any confidentiality agreement, pilot agreement, processing agreement, services agreement or other written commercial terms agreed with NCRS. If there is an inconsistency, the separately executed written agreement prevails for its subject matter.
5. Enquiries and confidential information
Do not send confidential process information, assay reports, regulated documents, trade secrets or other sensitive material through the public form or unsolicited email. We will establish an appropriate confidential channel if a discussion progresses.
Sending unsolicited information does not create a duty of confidentiality, exclusivity, evaluation, acceptance, use or compensation. An obligation of confidence arises only where it exists under applicable law or has been expressly agreed in writing.
6. Permitted use
You may access the website for lawful business-information purposes. You must not:
- use the website unlawfully, fraudulently or in a way that infringes another person’s rights;
- attempt to gain unauthorised access to the website, hosting, accounts or connected systems;
- introduce malicious code, bypass security controls, scrape at an unreasonable rate or disrupt service;
- submit false, misleading, abusive or unlawful material;
- misrepresent your identity, authority or affiliation; or
- use website content or branding to suggest NCRS approval, endorsement or a commercial relationship without written consent.
7. Intellectual property
Unless stated otherwise, website content, branding, graphics, photographs, diagrams, copy and code are owned by or licensed to NCRS. You may view and temporarily download content for lawful internal evaluation. You may not reproduce, modify, publish, distribute, reverse engineer or commercially exploit it without prior written consent, except as permitted by law.
No licence to NCRS process technology, know-how, methods, trade marks or other intellectual property is granted or implied.
8. Accuracy and availability
We take reasonable care with website content, but information may be general, incomplete, out of date or subject to change as validation and commercial work progresses. To the extent permitted by law, we do not warrant that the website is continuously available, secure, error-free or fit for a particular purpose. We may change, suspend or withdraw any part without notice.
9. Third-party websites
Links to third-party websites are provided for convenience. NCRS does not control and is not responsible for their content, availability, security, products, services or privacy practices. A link does not necessarily indicate endorsement.
10. Consumer rights and liability
Nothing in these terms excludes, restricts or modifies a guarantee, right or remedy that cannot lawfully be excluded, including under the Australian Consumer Law.
Subject to those non-excludable rights and to the maximum extent permitted by law, NCRS is not liable for indirect, incidental, special or consequential loss arising from website access, use, unavailability or reliance. You remain responsible for independently evaluating information and for decisions concerning material, compliance, safety, transport, storage, processing and commercial arrangements.
11. Privacy
Our Privacy Policy explains how personal information collected through the website and enquiries is handled.
12. Changes
We may update these terms by publishing a revised version on this page. Changes apply from the stated last-updated date. Your continued use after that date constitutes acceptance of the revised terms.
13. Governing law
These terms are governed by the laws of Victoria, Australia and applicable Commonwealth laws. You submit to the non-exclusive jurisdiction of the courts of Victoria and courts entitled to hear appeals from them.
If a provision is invalid or unenforceable, it is to be read down or severed to the minimum extent necessary without affecting the remaining provisions.
